Small Business
At The Law Office of Derek A. Coulter, P.C., we assist clients throughout the life of their businesses. Clients routinely rely on us to help with the formation of their business, preparation of contracts for use with employees and other businesses, representation in contract disputes, and the sale or dissolution of a business. A Draper, Utah small business formation lawyer will work closely with you as your business requirements grow and change.
We offer clients personalized service. This approach allows us to understand our clients' business and legal needs. Clients rely on our business attorneys for a variety of legal needs, including:
Business Formation. One of the most important decisions facing anyone starting a new business is the choice of business entity. We will explain the differences between a C-Corporation, S-Corporation, LLC, or Partnership and help you to determine which entity form will best serve your needs.
By-Laws/Operating Agreements. Perhaps the most important document for any small business is the operating agreement, partnership agreement, or corporate by-laws. These agreements allow you to structure the financial and business relationship with your business partners, as well as proactively plan for common business issues, such as how disputes between partners shall be handled and what happens to the business if one of the partners passes away, or otherwise leaves the business.
Contracts. Businesses are based upon contracts. At some point, every business must enter into a contract, whether with a customer, employee, or another business. We can assist you with reviewing contracts before you enter into an agreement, drafting standard contracts for use in your day-to-day business, or represent you in a breach of contract dispute with a third party.
Dissolutions. Unfortunately, not all business relationships last indefinitely. We have experience in assisting clients with the dissolution or break-up of their business. This includes the preventative measure of drafting operating agreements that will govern the dissolution, as well as representation during negotiations, and settling the final affairs of your business.
Business Litigation. In most businesses, at some point, a dispute arises between the business and its customers, employees, or other third parties, or even amongst business partners, which cannot be settled short of litigation. We have experience in resolving business disputes in a cost effective manner in both federal and state courts.
Collections. Our attorneys can assist in the efficient and cost-effective collection of debts. Business collections involve making proper demands of the debtor and (if a settlement or payment plan cannot be reached) the carrying out all necessary court actions, including post-judgment collection (wage and account garnishments and seizures), to collect what is owed. We know that our clients are interested in collecting what is owed in a cost effective manner. Thus, we review our clients’ contracts to ensure that, if collection is necessary, our clients are able to recover collection costs and attorneys fees.
Mechanic’s or Materialman’s Liens. A properly made mechanic’s or materialman’s lien provides you with security for a debt owed to you for your contributions to a construction project. We assist our clients in satisfying the requirements necessary to perfect and foreclose on liens.
Construction Contract Disputes. If you are involved in a dispute over the performance of a construction contract, our attorneys can assist you in protecting your legal rights.
Condominium and Homeowners’ Association Issues. Our attorneys can assist HOA’s and condo associations with collections, document drafting, contract review, covenant enforcement, and CC&R review and drafting.
